1. Introduction

This agreement outlines the terms under which guests ("You") agree to participate in the podcast produced by Apparel & Beyond and distributed by Canvas Wear, with all intellectual property rights managed by Enki Holdings ("Company"). This document also covers privacy terms regarding personal data and how it will be used.

2. Consent to Record

You hereby grant the Company unconditional consent to record, broadcast, and distribute your contributions which may include voice, image, and other participatory elements. These recordings may be used on various media platforms including, but not limited to, podcasts, video broadcasts, and promotional materials.

3. Ownership

The Company retains all rights to the content produced during the podcast sessions. This includes any visual, audio, and digital content generated during or for the podcast. You agree that you have no claim to ownership, royalties, or ongoing profits from any broadcasts, publications, or materials derived from your participation.

4. Use of Personal Information

• Collection of Information: The Company may collect personal information such as your name, likeness, biography, and other details relevant to the podcast.

• Use of Information: This information will be used solely for purposes related to the podcast, including promotion, distribution, and archival storage.

• Sharing Information: Information may be shared with third-party service providers to the extent necessary for the podcast's production and distribution. All third parties are vetted and bound by confidentiality agreements.

5. Privacy Rights

You retain rights to access and control over your personal data. You may request access to the data held about you and may request corrections to any inaccuracies.

6. Confidentiality

You agree to keep any sensitive information discussed during the recording confidential, and not to disclose any information about the Company's internal processes, upcoming projects, and other sensitive data without express written permission.

7. Release and Waiver of Claims

You release the Company and its affiliates from any claims, demands, and liabilities arising out of or in relation to your participation in the podcast, including but not limited to claims of copyright infringement, defamation, and breach of privacy.

8. Indemnification

You agree to indemnify and hold harmless the Company and its directors, officers, employees, and agents from and against any losses, damages, liabilities, claims, costs, penalties, and expenses (including reasonable attorneys’ fees) arising out of your breach of this agreement.

9. Term and Termination

This agreement is effective from the date of signing until terminated by either party with written notice. Upon termination, your personal data will be handled in accordance with the privacy terms outlined herein.

10. Miscellaneous

• Modification: This agreement may only be modified in writing signed by both parties.

• Governing Law: This agreement shall be governed by the laws of the state in which the Company is registered.

• Dispute Resolution: Any disputes arising from this agreement will be resolved through arbitration in the jurisdiction of the Company.

By signing this agreement, you affirm that you have read, understood, and agreed to the terms outlined herein. You also confirm that you have had the opportunity to seek independent legal advice.
